As explained in myStockOptions blog https://lnkd.in/da-DeeZ he had substantial RSU grants with special vesting that raised numerous issues and needed innovative solution.
The company had to tread carefully in balancing its stock compensation philosophy with its commitment to reward a successful executive. In addition, the company had to consider the executive's need to avoid conflicts of interest and desire to minimize taxes.
